SkyCash General Meeting

The General Meeting of SkyCash Poland SA has the competences provided for by the Commercial Companies Code for general meetings of joint-stock companies, including approving the financial report, deciding on the distribution of profit or covering of loss, deciding on granting discharge to members of the company's authorities. The principles of functioning of the General Meeting are described in detail in § 15-16 of the Company's Articles of Association.

When will the shares be released?

Currently, shares are not issued in paper form. In 2021, shares were dematerialized. This involves changing the form from a paper share to a record in an electronic system. This action eliminates shares in paper form and bearer shares from trading. 
The new provisions of the Commercial Companies Code on the dematerialization of shares apply to limited joint-stock partnerships and joint-stock companies. These standards increase the security of trading in shares of non-public companies and reduce the risk of money laundering

Will I receive a share certificate?

In March 2021, the paper share document lost its validity. It was replaced by an entry in the register of shareholders. From that moment on, the paper shares are replaced by the so-called "registered shares", i.e. shares disclosed in the electronic register of shareholders, which will be maintained by an entity authorized to do so. In this case, it is: Dom Maklerski Banku Ochrony Środowiska Spółka Akcyjna with its registered office in Warsaw, 00-517 ul. Marszałkowska 78/80, entered in the Register of Entrepreneurs maintained by the District Court for the capital city of Warsaw, 0000048901th Commercial Division of the National Court Register, under number 526, NIP 10-26-828-XNUMX.
This means that shareholders, through Dom Maklerski Banku Ochrony Środowiska Spółka Akcyjna, have the right to access the data contained in the register of shareholders and may request the issuance of this information in paper or electronic form. It is issued to authorized persons and has an evidential character, it does not perform any functions legitimizing the exercise of participation rights and the disposal of shares. 

Does a shareholder have access to the shareholder register?

Yes, every shareholder can access the shareholder register. It is enough to have at least one share and contact the entity maintaining the shareholder register.

How can I manage acquired assets?

The purchased shares are your property, so you can keep them with the company's growing value in mind or sell them (under a civil law contract) to anyone you want.

Where are my shares?

SkyCash Poland SA (the issuer of the Shares) pursuant to the concluded agreement entrusted the maintenance of the register of shareholders to a company operating under the form of Dom Maklerski Banku Ochrony Środowiska Spółka Akcyjna with its registered office in Warsaw, 00-517 ul. Marszałkowska 78/80, entered into the Register of Entrepreneurs maintained by the District Court for the capital city of Warsaw, 0000048901th Commercial Division of the National Court Register, under number 526, NIP 10-26-828-XNUMX.

Can I withdraw funds?

There is no such possibility. According to the law, the submission and payment of the subscription is irrevocable. 

How can I access the shares I purchased?

Shareholders, through the entity maintaining the shareholder register, have the right to access the data contained therein, and may also request the issuance of information from the shareholder register in paper or electronic form. They are issued to authorized persons and have an evidential character, and do not perform any function legitimizing the exercise of share rights and the disposal of shares.

How to obtain documents confirming share ownership?

To confirm the ownership of shares in SkyCash Poland SA, you must apply for a registration certificate or obtain access to the data contained in the register of shareholders and possibly request information from the register of shareholders. From the moment of issuing the registration certificate until its expiry or the return of the registration certificate to the issuer before its expiry date, the shares in the amount indicated in the deposit certificate will be blocked.
